By accessing or using the Navabit platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including but not limited to browser users, API users, and users who integrate third-party platforms through the Service.

2. Description of Service

Navabit provides a business operations platform that includes:

  • Marketing analytics and tracking
  • Ad platform integrations (Facebook/Meta, Google Ads, TikTok, Shopify)
  • Customer relationship management (CRM)
  • Content management system (CMS)
  • Workflow automation
  • WordPress hosting services

The Service may integrate with third-party platforms to collect and analyze marketing data on your behalf.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update your account information as needed
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Transmit malware, viruses, or other harmful code
  • Engage in unauthorized data collection or scraping
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to systems or accounts
  • Use the Service for fraudulent or deceptive purposes

5. Third-Party Integrations

The Service allows you to connect and integrate with third-party platforms including:

  • Facebook/Meta: Marketing API and Conversions API for ad performance tracking
  • Google: Google Ads API for advertising analytics
  • Shopify: Store data for e-commerce analytics
  • TikTok: Marketing API and Events API for ad tracking

When you connect these platforms, you authorize Navabit to access and process data from these services on your behalf. You are responsible for ensuring you have the right to share this data with Navabit and that your use complies with each platform's terms of service.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Navabit LLC and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any data you submit to the Service. By submitting data, you grant Navabit a license to use, process, and display that data as necessary to provide the Service.

7. Data Processing

We process data as described in our Privacy Policy. If you are processing personal data of EU residents, you may need to enter into a Data Processing Agreement with us.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with reasonable notice
  • Modify or discontinue features with reasonable notice
  • Suspend access for security or compliance reasons

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVABIT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Navabit LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

Either party may terminate these Terms at any time. Upon termination:

  • Your right to access the Service will immediately cease
  • We will delete your data in accordance with our Privacy Policy
  • Provisions that by their nature should survive will remain in effect

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of the United States.
